1. Agreeing to these Terms

These Terms of Service (“Terms”) are an agreement between you and ROOMIE LLC, a Kentucky limited liability company (“ROOMIE LLC,” “we,” “us”), which develops and operates the Roomie app and website (“Roomie”). By creating an account or using the Roomie app or website, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use Roomie.

2. Who can use Roomie

• You must be at least 16 years old.
• If you are under 18, or under the age of majority where you live, you may use Roomie only with your parent or legal guardian’s permission, and they agree to these Terms on your behalf and are responsible for your use.
• You must sign in with a school email address that belongs to you and that you are allowed to use.
• One account per person. Don’t create an account for someone else or pretend to be someone else.
• You can’t use Roomie if we’ve previously removed you, or if you’re barred from using it under applicable law.

3. Your account

You sign in with a one-time code sent to your school email. You’re responsible for keeping access to that email secure and for activity on your account. Tell us right away at team@roomieapp.live if you think someone else has accessed it.

4. What Roomie is, and isn’t

Roomie is a platform where students at the same school can post rooms, find roommates, start and join groups called clans, and contact each other.

• ROOMIE LLC is not a landlord, property manager, real estate broker or agent. We don’t own, rent, inspect or guarantee any property.
• We don’t verify listings, prices, availability or the accuracy of anything students post.
• We don’t run background checks or verify anyone’s identity beyond their access to a school email address.
• ROOMIE LLC is not a party to any lease, sublease, payment or agreement between students. Any arrangement you make is solely between you and the other people involved, and you’re responsible for your own decisions.
• ROOMIE LLC is not affiliated with, endorsed by or sponsored by any college or university unless we say so explicitly.

5. Your content

You own the text, photos and other content you post on Roomie (“your content”). By posting it, you give ROOMIE LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, resize, format and display your content in order to operate, provide and improve Roomie, including showing it to students at your school. This license ends when you delete the content or your account, except for copies kept in routine backups for a limited time, content others have already shared outside Roomie, and records we must keep for safety or legal reasons.

You confirm that you have the rights to everything you post, that people who appear in your photos have agreed to it, and that your content follows these Terms and the law.

6. Community rules: zero tolerance

Roomie is for real connection between students. We have zero tolerance for objectionable content and abusive users. Don’t post, send or do anything that:

• Harasses, bullies, threatens, stalks or intimidates anyone.
• Attacks or demeans people based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age or any other protected characteristic.
• Contains nudity, sexual content, or sexual solicitation, or sexualizes anyone. Any content that sexualizes a minor is removed and reported to authorities.
• Promotes violence, self-harm, terrorism or other illegal activity.
• Offers or seeks drugs, weapons, alcohol for minors, or anything else illegal.
• Is false, misleading or fraudulent, including fake listings, bait-and-switch rooms, requests for deposits on places you don’t control, or any scam.
• Impersonates someone or misrepresents who you are or your connection to a school.
• Shares someone else’s private information without their permission.
• Is spam, commercial advertising, chain messages or unsolicited promotion.
• Infringes someone else’s intellectual property, privacy or other rights.

Also don’t: use bots, scrapers or automated means to access Roomie; try to see content from schools other than your own; interfere with or attempt to break Roomie’s security; or reverse engineer the app.

7. Housing listings

• Only post a room you have the right to rent or sublet, and describe it honestly: price, location, photos, availability and who else lives there.
• Follow your lease, your school’s housing rules (if applicable), and all applicable laws. Don’t post listings that exclude people based on a protected characteristic, except where the law allows preferences for a shared living space, such as choosing a roommate.
• Never ask for payment before the other person has had a chance to see the place, and never ask for payment by wire transfer, gift card or cryptocurrency.

8. Reporting, blocking and moderation

• Report any room or clan: tap the gold R. in the top corner, then Report. Reports go to the Roomie team, and we don’t tell the other student who filed them.
• Block any student from their profile. Their listings and clans stop showing up for you and you can’t message them. They aren’t told. You can unblock them any time from Blocked in the R. menu.
• We review reports within 24 hours. We may remove content and suspend or permanently remove any account that breaks these Terms, with or without notice.
• We aren’t able to review everything posted on Roomie and we aren’t responsible for content posted by students, but we act on what we see and what you report.

9. Your safety

Meeting people and finding housing carries real-world risk. ROOMIE LLC can’t guarantee the conduct of anyone you meet. Use good judgment: meet in public places first, tell a friend where you’re going, visit a room in person before paying anything, and trust your instincts. If you’re in danger, call 911 or your local emergency number, and campus police if you’re on campus.

10. Roomie’s rights

The Roomie app, name, logo, design and software belong to ROOMIE LLC and are protected by law. We give you a personal, non-exclusive, non-transferable, revocable license to use the app for your own non-commercial use, following these Terms. If you send us feedback or ideas, we may use them without any obligation to you.

11. Changes to Roomie and to these Terms

We may add, change or remove features at any time. We may update these Terms; we’ll change the effective date above, and if a change is significant, we’ll let you know in the app or by email before it takes effect. Continuing to use Roomie after a change means you accept the updated Terms.

12. Ending your use

You can stop using Roomie and delete your account at any time from the app (tap the gold R., then Erase me from Roomie.). We may suspend or end your access if you break these Terms, if required by law, or to protect Roomie or its users. Sections 5 (for content we may keep), 10, 13, 14, 15 and 16 survive after your account ends.

13. Disclaimers

Roomie is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t promise that Roomie will be uninterrupted or error-free, that listings are accurate, or that you’ll find a room, roommate or group. We aren’t responsible for the conduct of any user, on or off Roomie.

14. Limitation of liability

To the fullest extent allowed by law, ROOMIE LLC, its members and its people will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data, housing or opportunities, arising from your use of Roomie, from any content, or from your dealings with other users, even if we were told they were possible. Our total liability for all claims relating to Roomie, whether for direct or indirect damages and whether based on contract, tort (including negligence) or any other legal theory, is limited to one hundred US dollars (US$100).

15. Indemnity

If you break these Terms or the law, or if your content causes a claim against us, you agree to defend and hold harmless ROOMIE LLC, its members and its people from the resulting claims, losses and costs, including reasonable legal fees, to the extent allowed by law.

16. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky and applicable US federal law, without regard to conflict-of-law rules. If you have a concern, please email us first; most issues can be resolved quickly. If we can’t resolve a dispute informally within 30 days, it will be decided exclusively by the state or federal courts located in Kentucky, and you and ROOMIE LLC consent to their jurisdiction. Either of us may bring a qualifying claim in small claims court instead.

17. App Store and Google Play terms

If you downloaded Roomie from Apple’s App Store:

• These Terms are between you and ROOMIE LLC only, not Apple. ROOMIE LLC, not Apple, is solely responsible for the app and its content.
• Your license to use the app is limited to Apple-branded devices you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions. Apple’s Standard End User License Agreement also applies.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Roomie is free. To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
• ROOMIE LLC, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection claims.
• If a third party claims the app infringes their intellectual property rights, ROOMIE LLC, not Apple, is responsible for investigating, defending, settling and resolving that claim.
• You confirm that you are not located in a country subject to a US government embargo or designated as a “terrorist supporting” country, and that you are not on any US government list of prohibited or restricted parties.
• You must comply with any applicable third-party terms when using the app, such as your wireless carrier’s terms.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you downloaded Roomie from Google Play, Google is not a party to these Terms and is not responsible for the app, and Google Play’s terms also apply to your use of the store.

18. General

These Terms and the Privacy Policy are the entire agreement between you and ROOMIE LLC about Roomie. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision isn’t a waiver. You may not transfer these Terms; we may transfer them in connection with a sale, merger or transfer of Roomie.
